Investment Manager's Group Restructuring

Gore Street Investment Management Limited ("GSIM"), a 100% owned subsidiary of Gore Street Capital Limited ("GSC", the Company's former AIFM and investment manager) received approval from the Financial Conduct Authority ("FCA") to perform regulated activities, including permission to manage unauthorised AIFs, effective 31 March 2025.
Following that approval, and as part of a corporate restructuring within the Investment Manager's group, on 31 March 2025, the Company's alternative investment fund management agreement ("AIFM Agreement"), was novated from GSC to GSIM. Under the terms of the novation agreement, GSC transferred all of its rights and obligations under the AIFM Agreement to GSIM. GSIM has undertaken to the Company to observe, perform, discharge and be bound by the AIFM Agreement as if it were a party to the original AIFM Agreement in place of GSC. The terms of the AIFM Agreement, including those relating to the payment of fees and the notice period, remain the same.
In addition, due to the change of AIFM, the Depositary Agreement between the Company, GSC and INDOS Financial Limited has also been novated, with GSIM taking the place of GSC. All the terms of the Depositary Agreement remain the same.
